First of all, let us assure you that the Cloth is certainly allowed to come with the character; the only question before us is what ought to be listed. Naturally, outlining the powers would apply in any case!

As regards the personality, the defining line is really whether a determination about the item's abilities or actions needs to be made by you, the player. Take for example a sword enchanted so that it cannot be used by a person over 20 years. This condition is absolute and defined; it requires no conscious decision on anyone's part. It works or it does not based on established rules, and wouldn't require your input as a player were someone else to interact with it.

Conversely, though the Cloth may be only infrequently active, from what you initially said it has enough self-will when it chooses to act that it can make decisions about whether or not its current owner is still worthy to use it, or to defend someone it doesn't belong to. This is enough of a personality that any scenario it might come up in would require its decisions to be made by you, the player -- as opposed to an absolute rule.

We understand that the Cloth is in a strange middle-ground as concerns items, so really all we need is a basic idea of what might cause it to act and what it might choose to do; you don't need to go into full-character-depth as if it was a fully sentient being with its own entirely-realized personality. We just need enough to know what might come of it.
